Finance software specialist OneStream has inked a definitive deal to be acquired by Hg, the prominent software and data-focused investment firm, in an all-cash transaction that pegs the company’s equity value at approximately $6.4 billion. Shareholders will pocket $24.00 per share—translating to a 31% premium over the closing price from January 5, 2026, and a 27% premium based on the 30-day volume-weighted average through that same date.

Deal Structure And Investor Consortium

Hg will secure majority voting control as part of the transaction, while General Atlantic and Tidemark will join as meaningful minority stakeholders. The Saturn Fund will serve as the investment vehicle for Hg’s commitment. Settlement of the transaction is projected for the first half of 2026, after which OneStream will transition into private ownership. The company will continue operating from its Birmingham, Michigan headquarters.

Tom Shea will retain his position as CEO, with the existing executive team staying in place through the transition.
